1. Acceptance of Terms

By accessing or using VAAS-X services, you agree to be bound by these Terms of Service. If you do not agree, do not use our services.

2. Description of Service

VAAS-X provides a domain-agnostic episodic memory platform. Our services include:

• HCI: Hybrid Centroid Index for similarity recall
• SAO: State-action-outcome episode model
• OKE: Encrypted similarity search
• VACA: Vector-augmented cognitive arrays for shard memory
• AgentInterfaceModule: Operator interface for ingest and search

3. Account Terms

3.1 Registration

• You must provide accurate and complete information
• You are responsible for maintaining account security
• You must be 18+ or have parental consent
• One person or legal entity per account

3.2 Account Security

• Keep your password secure and confidential
• Notify us immediately of unauthorized access
• You are responsible for all activity under your account

4. Acceptable Use

4.1 Permitted Use

• Security testing on systems you own or have authorization to test
• Vulnerability scanning of your own code
• Internal knowledge base and search
• Compliance with all applicable laws

4.2 Prohibited Use

You may NOT:

• Scan or test systems without authorization
• Use services for illegal activities
• Reverse engineer our platform
• Resell or sublicense our services
• Attempt to bypass security measures
• Use services to develop competing products
• Overload our systems (beyond rate limits)

5. Billing and Payment

5.1 Fees

• Billing terms are defined in the applicable order form or agreement
• Fees are exclusive of applicable taxes
• Subscriptions renew per the order form unless cancelled in advance

5.2 Payment Terms

• Payment terms are specified on the invoice or order form
• We may update pricing for future periods with reasonable notice

5.3 Refunds

• Refund eligibility is defined in the order form or agreement

6. Data and Privacy

6.1 Your Data

• You retain all rights to your data
• You grant us license to process data to provide services
• We do NOT use your data to train models for other customers

6.2 Security

• We implement industry-standard security measures
• Enterprise tier includes OKE encryption (search without decrypting)
• Regular security audits and penetration testing

7. Service Level Agreement (SLA)

7.1 Uptime Guarantee (Enterprise Only)

• 99.9% uptime for paid Enterprise plans
• Measured monthly, excluding planned maintenance
• Service credits for downtime below 99.9%

7.2 Support

• Free Tier: Community support (best effort)
• Professional: Email support (24h response)
• Enterprise: Priority support + SLA

8. Intellectual Property

8.1 Our IP

VAAS-X retains all rights to:

• Platform code and algorithms
• HCI technology and related indexing methods (proprietary; provisional patent filing planned)
• Trademarks and branding
• Documentation and materials

8.2 Your IP

• You retain ownership of code/data you submit
• You grant us license to process for service delivery
• We may use aggregated, anonymized data for research

9. Warranties and Disclaimers

9.1 Service "As Is"

SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Guarantee of Detection

While we strive for high detection rates, we cannot guarantee detection of all vulnerabilities or exploits. You remain responsible for your own security.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are NOT liable for indirect, incidental, special, or consequential damages
• Total liability limited to fees paid under the applicable order form
• We are not liable for: data loss, security breaches at your end, missed vulnerabilities, business interruption

11. Indemnification

You agree to indemnify and hold VAAS-X harmless from claims arising from:

• Your use of the services
• Your violation of these Terms
• Your violation of any law or third-party rights

12. Termination

12.1 By You

• Cancel anytime via account settings
• Refunds, if any, are governed by the order form
• Data exported within 30 days

12.2 By Us

We may suspend or terminate your account for:

• Violation of these Terms
• Non-payment
• Fraudulent activity
• Illegal use

13. Changes to Terms

• We may update these Terms with notice
• Material changes: 30 days notice via email
• Continued use = acceptance of new Terms

14. Governing Law

• Jurisdiction: England and Wales
• Disputes: Resolved through arbitration before court
• Venue: Courts of England for any legal proceedings
